Daydream Beta Tester Agreement

1) Parties

This Agreement is between Daydream Labs Inc. ("Daydream") and each individual who submits the Daydream beta registration form identifying themselves by name and email and/or taps Accept in the Daydream beta app (each, a "Tester").

2) Purpose

Tester will access Daydream's pre-release iOS app and related materials solely to evaluate the app and provide feedback ("Purpose").

3) Confidential Information & Exclusions

"Confidential Information" includes all non-public information disclosed by Daydream (app, features, UI/UX, algorithms, prompts/models, designs, roadmaps, screenshots, metrics, test plans, communications).

Exclusions: (a) public without breach; (b) independently developed without use of Confidential Information; (c) rightfully received without duty of confidence; (d) approved in writing for release.

4) Non-Use, Non-Disclosure & No Publicity

Use Confidential Information only for the Purpose; do not disclose it; do not share screenshots, recordings, reviews, or public posts without written consent; no copying, modifying, decompiling, disassembling, reverse-engineering, or attempting to extract source code or models.

5) Feedback

Tester grants Daydream a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable license to use feedback (ideas, suggestions, bug reports) for any purpose, without attribution or compensation, and waives moral rights to the extent permitted by law. Daydream retains all rights in the app.

6) Privacy (Beta Telemetry)

Testing may collect diagnostics and limited usage data to improve Daydream; see Privacy Policy. By accepting, Tester gives meaningful consent to this limited collection and use for the testing Purpose.

7) Term & Duration of Duties

This Agreement starts on the Effective Date and lasts through the beta or until terminated on notice. Confidentiality obligations last three (3) years after termination. Trade secrets (information deriving independent economic value from secrecy and protected by reasonable steps) remain confidential indefinitely.

8) Compelled Disclosure

If legally compelled, Tester will (to the extent permitted) promptly notify Daydream, disclose only what is required, and cooperate to seek protective treatment.

9) Remedies

Breach may cause irreparable harm; Daydream may seek injunctive relief and other legal remedies.

10) Governing Law & Forum

Laws of Alberta, Canada; courts of Alberta have exclusive jurisdiction.

11) Entire Agreement

Entire understanding regarding beta confidentiality; amendments must be in writing (including click-accept in app). If any term is unenforceable, the remainder stays effective.
